Rates and Fees: You acknowledge that you have been adequately informed of the supporting documents, rates, and fees associated with the services we provide, and you have received a complete description of these services.
Rate Changes: We reserve the right to change specified rates and charges from time to time. Promotional offers are contingent upon our ability to maintain cost-of-service goals. Where possible, we will provide you with a minimum of 15 days' notice of any rate changes.
Payment Requirement: We are under no obligation to provide services until all stated charges have been paid in full, and we have successfully verified the payment's validity.
Recurring Payments: Recurring payments are due on the first day of the month following the completion of the initial invoice term and continue for all subsequent invoices.
Late Payments: Accounts that become past due may incur a 10% late payment fee and may be suspended or disabled for non-payment at our sole discretion. A restoration charge may apply before services are reinstated.
Collections: Any uncollectable accounts will be referred to an external collection agency, and you agree to pay any additional fees imposed by that agency or its legal representation.
Prepaid Services: All services we offer are provided on a strictly prepaid basis.
Refund and Return Policy: All services rendered by South African Registrations are provided on a non-refundable basis. This includes, but is not limited to, setup fees, monthly fees, upgrade fees, and professional service fees. All payments made to us are completely non-refundable.
No Chargebacks: You agree not to initiate any credit card chargebacks or other payment disputes for services rendered. Doing so will be considered a violation of this agreement.
Application Cancellation: We reserve the right to cancel an application if you have not provided all required documentation within a reasonable time, or if we are unable to proceed due to your non-compliance with the South African Revenue Services (SARS), the Companies and Intellectual Property Commission (CIPC), the Department of Labour (DOL), or any other relevant department.
Document Submission Deadline: Any application for which the relevant and required documents have not been received from the Client within 3 (three) months from the application date will be automatically cancelled, and we shall bear no liability in this regard.
Service Availability: We do not warrant that our service will be uninterrupted or error-free.
Limitation of Indirect Damages: In no event shall South African Registrations be liable for any incidental, consequential, or indirect damages (including, but not limited to, loss of profits, business interruption, loss of programs or information) arising from the use or inability to use our service, or any information/transactions provided through our service, even if we have been advised of the possibility of such damages.
Errors and Omissions: We are not liable for any claim attributable to errors, omissions, or inaccuracies in the service, materials, or information downloaded through the service.
Your Indemnity: You agree to indemnify, defend, and hold harmless South African Registrations, its shareholders, owners, accountants, officers, members, directors, employees, agents, licensors, suppliers, and third-party information providers from any losses, expenses, damages, and costs (including reasonable attorneys' fees) resulting from any violation of this agreement (including negligent or wrongful conduct) by you or any other person accessing the service.
Monetary Liability Cap: In no case will the Provider be liable for damages resulting from any interruption of service or its own negligence in excess of the charges payable by the Client for services during the period damages occurred.
Name Reservation Submissions: We will submit your company name reservations up to 3 (three) times at no additional cost if declined. Thereafter, an additional fee of R 100 per submission will apply.
Name Reservation Ownership: Ownership of the name reservation remains with the Client who filed for it. This reservation can be used to register a new company or change an existing company name. It can also be transferred to you or another party for a fee of R 75 upon your written request.
Company Incorporation: All private companies will be incorporated using the short standard form for private companies (COR15.1A). The registration process is dependent on the workload, timeframes, and procedures of the Companies and Intellectual Property Commission (CIPC).
Indemnity for Delays/Errors: Company incorporators and directors agree to hold harmless South African Registrations, its company representatives, and/or their employees against any claims, loss, damage, or liability arising from any delays or errors occurring during the registration process.
Should you violate any of these terms, we will attempt to contact you by email or telephone before taking any action where avoidable. However, we reserve the right to pursue any necessary action to protect our best interests, which may include the immediate suspension or termination of your services without prior notification.
